Terms and conditions
About these terms
This website, tefcoldhoreca.com, is run by SIA "LA RONDE", a company registered in Latvia under number 40103598208, VAT number LV40103598208, registered address Miera iela 32A-15, Riga, LV-1001, Latvia.
These terms cover the use of this site and the orders placed through it. They apply together with our privacy policy, our returns and warranty page, and anything we agree with you in writing for a particular order.
The site is aimed at businesses and is not intended for children.
This is what happens when you press Place order:
Your order reaches us and is recorded with an order number that begins with TH-. You get an e-mail with a link to the page that shows the state of that order.
Nothing is charged. The site has no card form and no payment provider, so no money can be taken through it.
Your order is a request to buy. A contract starts when we confirm to you that we accept it.
Until we confirm, either side can still step back.
Payment is made by bank transfer against our invoice, after we have confirmed the order. The site itself never handles a payment, and it never asks for card or bank details.
Prices in the catalogue are shown without VAT, with the price including VAT next to it. The VAT rate is 21%. Delivery is not included in the price: we state the delivery cost when we confirm your order.
The site is published in English, Latvian, Estonian and Lithuanian. The pages are written in English and the other versions are translations of them. If you find a place where the versions do not match, tell us and we will correct it.
There is no box to tick on this site, and we do not ask you to accept these terms at the order step. This page explains how we run the site and how we handle orders. What you owe and what we owe for a particular purchase is what we state in the order confirmation and the invoice, read together with this page.
Words we use
- "We", "us" and "our" mean SIA "LA RONDE", registration number 40103598208.
- "You" means the buyer who uses the site or places an order, and the person who acts for that buyer.
- "The site" means tefcoldhoreca.com in all of its language versions.
- "The catalogue" means the product pages, with their descriptions, specifications and prices.
- "An order" is the request you send us when you press Place order in the cart.
- "An order confirmation" is our reply accepting your order. A contract between us starts with it.
- "Your order number" is the reference given to the order when it reaches us. It begins with TH-.
- "The status page" is the address in the e-mail you receive after ordering. It shows the order number, the current state of the order, the items ordered and the totals. Anyone holding that link can open the page, so pass it on only to the people who need it.
Who this shop is for
This shop is addressed to businesses. We sell professional refrigeration equipment to companies, sole traders and other organisations that use it in their work, and the catalogue, the prices and these terms are written for a business buyer.
An order can be placed by a person who is of age - eighteen in Latvia - and able to enter into a contract on behalf of the buyer named in the order. Please give details that are true, and tell us the company name and VAT number so that we can invoice you correctly. Those two fields are not mandatory in the form, and nothing on the site checks whether the buyer is a business.
If you nevertheless buy as a consumer - as a private person, outside a trade or profession - the rights the law gives consumers apply to your purchase in full, and it is the consumer rules that apply to it, not the commercial ones described below.
For a purchase made for a business the position is different, and it is better to know that before you order than after. The 14-day right to withdraw from a distance purchase (Directive 2011/83/EU; in Latvia the Consumer Rights Protection Law and Cabinet Regulation No. 255) and the two-year statutory liability for the conformity of goods (Directive (EU) 2019/771; in Latvia the Consumer Rights Protection Law, Sections 13(2) and 27(1)) are written for a consumer, meaning a natural person acting outside a trade or profession. They do not cover a purchase made for a business.
What a business buyer has is the contract with us: the goods we confirmed, in the condition we agreed, under the Civil Law rules on purchase, together with the warranty we give on the equipment. The warranty terms are on the returns and warranty page.
When the goods arrive, check them without delay and tell us at once if something is wrong. Where both we and the buyer are merchants, the Commercial Law applies to the purchase and goods that are not objected to count as accepted (Section 411, and Section 411(5) on when it applies). That duty has limits: it does not cover a defect that could not be seen when the goods were examined - tell us as soon as you find such a defect - and it does not apply at all to a defect that the seller concealed.
A claim arising from a commercial transaction has to be brought within three years (Commercial Law, Section 406). That is a deadline for bringing a claim, not a substitute for the rights described above.
Changes to these terms
We change these terms when the law changes, when we change the way orders are handled, or when something here turns out to read unclearly.
There is one address and one current text. We do not keep an archive of earlier versions, and we do not notify buyers individually when this page changes. If these terms matter to your purchase, read them again before you order. The date at the end of the page shows when the current text took effect.
A change to this page does not change an order we have already confirmed. What we agreed there stands as agreed.
Copyright and use of the catalogue
The texts written for this site and the way the catalogue is put together are protected by copyright.
You may read, print and save pages for your own business use: comparing models, preparing a purchase, keeping a record of what you ordered. You may quote a short passage if you name the source and link to the page.
You may not republish the catalogue or a substantial part of it, pass it on for use elsewhere, or use it to build another catalogue, price list or database. This includes collecting pages or data from them automatically.
Manufacturer names, model names, marks and logos belong to their owners. We use them to name the equipment we sell.
If you believe that something published here infringes your rights, write to [email protected] with the address of the page and tell us what the problem is. We will look into it.
Acceptable use
Links and outside services
The site embeds no outside service. There is no advertising, no social media widget, no chat window, no map, and no font or script loaded from another company: everything on the pages is served from this domain.
Behind the pages we use ordinary suppliers to host the site, to carry traffic to it and to send e-mail. Our privacy policy names them, says what each of them receives and where it is located.
Where a page links out - to a manufacturer's site or to a document such as a manual - that site is not ours. We do not control what it publishes or how it handles your data, and its own terms apply once you are there.
What we promise about the site, and what we do not
We keep the catalogue as accurate as we can. Even so, specifications, availability and prices change, manufacturers replace models, and a page can be out of date or simply wrong.
Nothing in the catalogue is a binding offer. What applies to your purchase is what we state in the order confirmation: the model, the price and the delivery terms written there.
Professional refrigeration equipment has to suit the room, the power supply and the way you intend to work with it. The catalogue is not advice for your particular kitchen. If you need to be certain that a machine fits, ask us before you order.
We do not promise that the site is reachable at every moment. It goes down for maintenance from time to time, and access can be interrupted by things we do not control.
This section is about the site. What we promise about the equipment itself is on the returns and warranty page.
Our responsibility
We answer for our own mistakes. If we get the sale wrong - the wrong goods, a delivery date we agreed and missed, a defect we are liable for - what we owe you follows from the contract between us and from Latvian law, and the returns and warranty page explains how we put it right.
For the site itself we limit what we answer for, as far as the law allows us to. We do not compensate losses caused by the site being unavailable, by a page being out of date or mistaken, or by a decision taken on the strength of the catalogue rather than the order confirmation. What we do in such a case is correct the mistake: the page, the price, the order.
These limits do not touch liability that may not be limited. They leave untouched liability for harm caused deliberately or through gross negligence, liability for harm to life or health, liability for a defective product, and anything else that Latvian law does not allow to be limited. They do not affect rights you have under an order we have already confirmed, and they do not affect the rights of a buyer who is a consumer.
Governing law and courts
These terms, and any dispute connected with the site or with an order placed through it, are governed by the law of the Republic of Latvia.
Disputes are heard by the courts of the Republic of Latvia. We are established in Riga.
This site records no separate agreement between us about the choice of court. Where the law gives you the right to bring a claim elsewhere - the rules that apply to a buyer in another EU country, or the rules protecting consumers - this page does not take that right away.
How we handle a disagreement
If something has gone wrong, write to [email protected], give your order number, describe what happened and say what you want us to do. We answer by e-mail to the address you write from.
If we cannot agree, the matter goes to a court as set out above. We have not agreed arbitration with you: nothing in these terms sends you to an arbitration court or replaces a state court.
Writing to us first is what we ask for, not a step you have to complete before going to court.
Declining an order and blocking access
There are no accounts on this site, so there is nothing to close. Two things can happen instead.
We can block access to the site from a connection that is attacking it, harvesting it, or otherwise breaking the rules of use above.
We can decline an order, or cancel it while it is still unconfirmed - for example when we cannot supply what was ordered, or when the details given to us are wrong.
If we decline an order we tell you, using the contact details you gave us. An order we have already confirmed is a contract: we cannot simply cancel it, and what happens then follows from that contract and from the law.
You can stop using the site at any time. Your cart is held in your own browser and not on our server, so emptying it or clearing your browser data removes it completely.
An order you have already placed is a different matter: it stays with us. We keep orders and the accounting records that go with them for as long as the law requires - the Accounting Law (Gramatvedibas likums), Section 28, sets a minimum of five years for supporting documents - and delete them afterwards. Our privacy policy sets out what is stored, why, and what rights you have over it.
Events outside our control
Neither of us is at fault for failing to do something because of an event that could not be controlled and could not reasonably have been avoided. The usual examples are power and telecommunications failures, attacks on the network, fire, strikes, interruption of transport, measures imposed by an authority, and a manufacturer or carrier failing to deliver to us.
While such an event lasts, the obligation it blocks is suspended, not cancelled. We will tell you as soon as we reasonably can what has happened and what we expect. If the obstacle lasts so long that the order no longer makes sense for you, either of us may cancel the part that has not been fulfilled.
This excuses nothing that remains possible, and it is not a reason to keep your money: anything you have paid for goods we cannot deliver is returned to you.
General points
If one part of these terms turns out to be invalid, the rest stays in force, and the invalid part is read in the way that comes closest to its purpose within the law.
What we have agreed with you in writing for a particular order - a quotation, a specification, a delivery date - applies alongside this page. If we have signed a separate contract with you, that contract comes first.
